1) Agreement & Definitions

These Terms of Service (“Terms”) are a binding agreement between you and SofloWorks. By accessing or using MasterPilot on iOS (the “App”), the MasterPilot web interface at masterpilot.aero (the “Portal”), and related features and content (together, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

“Organization”: a flight school, OEM, business, or other entity that provisions user accounts.

“User Data”: content you upload or generate, including Flight Data and Aircraft Data.

“Flight Data”: avionics files/logs, GPS/telemetry, timestamps, instructor notes, and derived metrics you upload or generate.

“Aircraft Data”: aircraft make, model/series, equipment, year/series, tail number/registration, aircraft photo(s), nicknames/notes, and the association between an aircraft and specific flights.

“Standards Data”: regulatory/industry criteria (e.g., FAA ACS) displayed for training reference.

Privacy Policy. Our Privacy Policy forms part of these Terms. If these Terms and our Privacy Policy are inconsistent regarding Personal Data (as defined in the Privacy Policy), the Privacy Policy prevails to the extent of the inconsistency.


2) Eligibility

You must be 13+ to use the Service. If under the age of majority, you may use the Service only with a parent/guardian’s consent and supervision. Organization-managed accounts must comply with applicable training and student/child-privacy rules.


3) Critical Safety & Flight-Standards Disclaimer

The Service may display ACS or other flight-standards criteria and may generate scores, badges, or indicators. All such materials are for training and debriefing reference only. They do not constitute certification, endorsement, logbook authorization, or approval for any flight privilege, and are not a substitute for official regulatory materials, designated examiner determinations, or instructor judgment. The Service is not for in-flight use or operational decision-making. If inconsistent, official regulatory materials control. SofloWorks is not affiliated with and not endorsed by the FAA or any other regulator.


4) Accounts; Organization Accounts

You are responsible for safeguarding your credentials and for all activity under your account.

If your account is provisioned by an Organization: (a) certain data (e.g., flight summaries, analytics, seat usage) may be visible to Organization administrators per Organization settings; (b) your account may be managed, suspended, or reassigned by the Organization; and (c) on off-boarding, the Organization may retain copies consistent with its policies and applicable law.


5) License & Acceptable Use

License—App. Subject to these Terms, SofloWorks grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the App on Apple-branded devices you own or control, as permitted by Apple Media Services terms.

License—Portal. Subject to these Terms, SofloWorks grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Portal via a supported browser.

Restrictions. You will not (and will not permit others to): (i) reverse-engineer, decompile, disassemble, or circumvent security/usage limits; (ii) access the Service via unauthorized scraping or automated means; (iii) interfere with or disrupt the Service; (iv) upload malicious code; (v) use the Service to build a competing product; or (vi) use the Service in any unsafe or unlawful manner, including in-flight or for operational decisions.

Representations. You represent that you have all necessary rights and permissions to upload Flight Data and Aircraft Data (including photos) and that your uploads do not infringe others’ rights or disclose confidential information.


6) User/Flight & Aircraft Data; License; Aggregation; Notices

You retain ownership of your User Data, including Flight Data and Aircraft Data. The main information we process to operate MasterPilot is recorded or imported Flight Data that you or your Organization upload or connect.

You grant SofloWorks a non-exclusive, worldwide, transferable, sublicensable, fully-paid license to host, store, reproduce, analyze, process, and display User Data to provide and improve the Service (including debriefing, linking flights to specific airframes, analytics, support, safety, anti-fraud, and quality). SofloWorks may create, use, and disclose aggregated and/or de-identified data that does not identify you or any individual; rights in de-identified data are irrevocable.

We implement reasonable safeguards, but we are not an insurer of your data; maintain your own backups. No archive. The Service is not an archive or data-backup service, and SofloWorks shall have no liability to you or any third party for any loss, corruption, or destruction of User Data. If we receive a lawful request for your data, we will make reasonable efforts to notify you before disclosure unless legally prohibited or notification poses a risk of harm.


7) AI/Analytics Output; Display of Aircraft Data

The Service may generate automated analyses, summaries, or insights. Such outputs may contain errors or omissions and are provided for training reference only, not as operational, safety, regulatory, or professional advice. Verify results with official sources and qualified instructors/examiners.

Where you choose to include Aircraft Data (e.g., tail number, aircraft photo) in exports or shared content, you authorize SofloWorks to display that information in those contexts. Where offered, you can control whether tail numbers appear on exports.


8) Third-Party Services; Open Source

The Service may reference or integrate third-party services, devices, EFBs, SDKs, or content. Their terms and privacy practices govern those components. We are not responsible for third-party services. Open-source components are licensed under their respective licenses; where required, those licenses govern in case of conflict.


9) Payments, Renewal, Taxes, and Non-Payment

Fees may be charged on a subscription or usage basis. If purchased via Apple, billing and cancellation are handled by Apple. Otherwise, payments are processed by third-party processors under their terms. Fees are non-refundable unless required by law. We may change prices on renewal with notice. You are responsible for taxes. We may suspend or terminate access for non-payment, charge reversals, or suspected fraud.


10) Beta / Pre-Release Features

We may offer experimental or pre-release features (“Beta”). Beta is provided as-is, may be modified or withdrawn at any time, and carries no commitments, warranties, or service levels.


11) Intellectual Property; Feedback

The Service (software, content, and marks) is owned by SofloWorks or its licensors and protected by IP laws.

If you provide ideas or suggestions (“Feedback”), you grant SofloWorks a perpetual, irrevocable, worldwide, royalty-free license to use the Feedback for any purpose without attribution or compensation. We have no duty to keep Feedback confidential.


12) Communications

We may send service communications (e.g., account, security, changes to Terms/Privacy). We send marketing communications only as permitted by law; you can opt out at any time (opt-outs do not affect service communications).

Notice requirements. A valid DMCA notice must include: (i) your contact details; (ii) identification of the copyrighted work; (iii) identification of the allegedly infringing material and its location; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury; and (vi) your physical or electronic signature. We may remove content and terminate repeat infringers.

Status: SofloWorks designates the agent above for receipt of notices under the DMCA. (Update to “registered with the U.S. Copyright Office” after filing.)


14) Disclaimers

THE SERVICE (APP AND PORTAL) IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SOFLOWORKS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT ANY DATA, MAPS, METRICS, OR STANDARDS DISPLAYS ARE CURRENT, COMPLETE, OR FIT FOR OPERATIONAL USE.


15) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOFLOWORKS AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SOFLOWORKS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100, WHICHEVER IS GREATER. Some jurisdictions do not allow certain exclusions/limitations; where they apply, the limitation will be to the maximum extent permitted. The above limitations and caps do not apply to your indemnification obligations under §16.


16) Indemnification

You will defend, indemnify, and hold harmless SofloWorks and its affiliates, officers, directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your breach of these Terms; or (c) your violation of law or third-party rights. SofloWorks controls the defense and settlement of any claim you must indemnify (you may participate at your expense). You will not settle any claim without our prior written consent. Each party will use commercially reasonable efforts to mitigate losses.


17) Export Controls & Sanctions

You represent and warrant that you are not a prohibited party under applicable export/sanctions laws and will not use the Service for prohibited end-uses. You will comply with U.S., EU, and other applicable export and sanctions regulations.


18) U.S. Government Rights

The App and Portal are “commercial computer software” and “commercial computer software documentation.” If acquired by or on behalf of a U.S. Government entity, use is subject to these Terms per FAR 12.212 and DFARS 227.7202.


19) Apple-Specific Terms (iOS)

These Terms are between you and SofloWorks, not Apple. Apple has no obligation to furnish maintenance or support. To the maximum extent permitted by law, Apple has no warranty obligations with respect to the App. Apple is not responsible for claims relating to the App, including product-liability, legal/regulatory compliance, or IP claims. You represent you are not in an embargoed country and are not on a prohibited party list. Apple and its subsidiaries are third-party beneficiaries and may enforce these Terms.


20) Termination

You may stop using the Service at any time. We may suspend or terminate the Service or your access (including Beta) with notice where reasonable, or immediately for cause (e.g., abuse, non-payment, legal risk). Upon termination, your license ends and you must cease use of the App and Portal. Sections that by their nature should survive (including 3, 5–7, 9–16, 17–23) will survive.


21) Changes to the Service or Terms

We may update the Service and these Terms. For material changes, we will provide reasonable advance notice (e.g., 30 days) via the App/Portal or email where practicable. Your continued use after the effective date constitutes acceptance.


22) Notices & Service of Process

We may contact you via the App/Portal UI, your account email, or your Organization administrators. Legal notices to SofloWorks must be sent to legal@masterpilot.aero and the postal address above. If we receive a lawful request for your data, we will make reasonable efforts to notify you unless legally prohibited.


23) Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ THIS CAREFULLY. Any dispute arising out of or relating to the Service or these Terms will be resolved by binding arbitration on an individual basis, administered by JAMS or AAA under applicable rules. No class actions or class arbitrations. Either party may seek relief in small-claims court for eligible claims and injunctive relief for IP misuse. Governing law: Florida, USA (conflict-of-laws excluded). Venue for any permitted court proceedings is Miami-Dade County, Florida. Limitation period: claims must be filed within one (1) year after they arose, or be forever barred.


24) Assignment; Force Majeure; Entire Agreement; Severability; Waiver; Interpretation

You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset transfer. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). These Terms (plus the Privacy Policy) are the entire agreement. If any provision is unenforceable, it will be modified to the minimum extent needed; the remainder remains in effect. Failure to enforce is not a waiver. Headings are for convenience only.
